1. General Information

GEORGIA TECH PANAMA FOUNDATION (“THE FOUNDATION”) has created and maintains websites, as well as other digital properties, to support its mission of improving the performance of the logistics system through the deployment of information. These websites include the sites gatech.pa, logistics.gatech.pa, and all the information contained therein, including, but not limited to, publications, interactive tools, and digital applications.

All content presented on our official websites is automatically subject to the rights and responsibilities outlined in this Legal Notice. It is prohibited to attribute to THE FOUNDATION any content that is not generated, published, or managed by it.

2. User Responsibility

By accessing, browsing, or using our websites and their content, you become a User. From that moment on, you fully and unreservedly accept the general conditions of this Legal Notice, as well as any specific conditions that may be established for certain services and content on our websites and/or digital applications

The User is solely and exclusively responsible for the use of our content. THE FOUNDATION is not responsible in any case for damages caused by any use of the content by Users, especially for illicit, negligent, fraudulent uses, or uses that are contrary to these general conditions, good faith, generally accepted practices, and public order.

3. Legal and Regulatory Framework

At GEORGIA TECH PANAMA FOUNDATION, we strive to fully comply with the regulations and standards established in the Republic of Panama regarding intellectual property and copyright. This Legal Notice will be governed, interpreted, and enforced in accordance with the provisions of Law No. 64 of October 10, 2012, on Copyright and Related Rights. Similarly, relevant international norms and conventions are taken into account.

This Legal Notice is governed by the laws of Panama without regard to its conflict of law’s provisions. You agree to the exclusive jurisdiction of the courts in relation to any action or dispute arising between the parties under or in connection with this Legal Notice.

4. Disclaimer of Liability

The content presented by GEORGIA TECH PANAMA FOUNDATION is for general informational purposes only and is provided “as is.” THE FOUNDATION makes no representations or warranties of any kind, express or implied, with respect to, but not limited to, the accuracy, completeness, timeliness, suitability, reliability, or availability with respect to its websites or the content or services contained on such websites. The use of THE FOUNDATION’s websites and any reliance on the content or services contained therein are strictly at your own risk.

In no event shall THE FOUNDATION OR GEORGIA INSTITUTE OF TECHNOLOGY (“GEORGIA TECH”) be liable for any loss or damage, including, but not limited to, direct, indirect, special, incidental, or consequential loss or damage, or any loss or damage arising from the loss of data or profits, that arise from, or in connection with, the use of THE FOUNDATION’s website.

THE FOUNDATION’s website may contain links to other websites and content and services maintained and/or provided by third parties not affiliated with or controlled by THE FOUNDATION OR GEORGIA TECH. The use of such websites, content, and/or services may be subject to third-party intellectual property rights and/or regulated by third-party terms and conditions. The use of such third-party websites, their content, and/or services is at your own risk, and must be in compliance with the corresponding third-party terms and conditions, and you must not infringe the intellectual property rights of such third parties.

Neither THE FOUNDATION nor GEORGIA TECH endorses the content, companies, products, or services of such websites. Neither THE FOUNDATION nor GEORGIA TECH is responsible for the content, products, services, or other material available on such websites or provided by such third parties. Neither THE FOUNDATION nor GEORGIA TECH will be held liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, products, or services available on or through such websites.

5. Specific Terms and Conditions for Projects

Some of our tools or co-financed projects may have specific conditions that supplement this Legal Notice. Therefore, we recommend that Users review the specific terms and conditions on THE FOUNDATION’s respective websites or subdomains.

6. User Limitations

The content presented and developed by THE FOUNDATION is intended exclusively for personal use and not for commercial purposes. Therefore, it is prohibited to lend or share it for this purpose without THE FOUNDATION’s authorization.

It is prohibited to copy, modify, reproduce, publish, distribute, present, or transmit, in whole or in part, the information published for commercial or non-commercial purposes, without complying with the Terms of Use. You are not authorized to use or export the website, associated subdomains, content, or any software available on or through them. Any unauthorized use of the information published by THE FOUNDATION is also prohibited.

7. Terms of Use

You may use, download, and disclose the content generated by THE FOUNDATION as long as you do not violate the provisions of this Legal Notice and you cite the Georgia Tech Panama Logistics Innovation and Research Center as the source of the original material. To do this, you must:

• Cite the author and source of the content as you would with material from any printed work.
• Cite and link, when possible, the website as the source of the content.
• Do not remove any third-party copyright, trademark, or other proprietary notices, including attribution information, credits, and notices, found in or near the text, images, or data. You are not permitted to remove watermarks, remove the logos that identify our websites or publications, or take any action that invalidates or compromises THE FOUNDATION’s intellectual property rights over such content.

8. Actions Against Non-Compliance

It is crucial to remember that any infringement of Intellectual Property Rights is subject to penalties under the Panamanian Criminal Code, specifically Chapter VI, Section 1, which deals with Offenses Against Copyright and Related Rights.

If you fail to comply with the terms or conditions of this Legal Notice, you will receive an email notification detailing the reason for the claim. The user will have 15 days to respond to this notification. If no response is received within the established period, THE FOUNDATION reserves the right to initiate legal action to protect its rights and interests.

Once the process is initiated before the General Directorate of Copyright, in accordance with the provisions of Law 64, Article 157, you will have a period of 15 days to present evidence for your defense.

9. Notification of Copyright Infringement

THE FOUNDATION respects the copyrights and intellectual property of third parties. If you believe that content presented by the Center has infringed these rights, you can notify us via email, by providing the following in writing:

• Clear identification of the copyrighted material that is alleged to have been infringed.
• Exact location of the allegedly infringing content within THE FOUNDATION’s platforms (e.g., specific URL).
• Your contact information (full name, address, phone number, and email).
• A good-faith statement that the use of the material is not authorized by the copyright owner, their agent, or the law.
• A statement, under penalty of perjury, that the information in your notification is accurate and that you are the copyright owner or are authorized to act on behalf of the owner of an exclusive right that has allegedly been infringed.
• Your physical or electronic signature.
